Scott Richter advises our clients on corporate and securities matters, mergers and acquisitions, bank regulatory issues and corporate governance matters.
Mr. Richter's practice focuses primarily on financial service companies, including banks, savings institutions, credit unions, investment banks, broker-dealers and mortgage companies. In corporate finance matters, he represents issuers and underwriters in initial and secondary public offerings, as well as in private placements of debt and equity securities. In merger and acquisition matters, he has represented both buyers and sellers in public and private transactions utilizing a variety of deal structures.
Mr. Richter devotes a significant portion of his practice to counseling our publicly held clients with the reporting, proxy and other disclosure obligations imposed by the SEC, and in complying with the Sarbanes-Oxley Act and related SEC regulations.
