  • Advised energy clients on the legal aspects of power supply acquisition through wholesale and retail power agreements, energy trading agreements, gas trading agreements, and qualifying facilities agreements
  • Represented group of specialty produce companies in distribution and reseller agreements
  • Negotiated multimillion-dollar construction contract for new construction
  • Represented international bank in the negotiation and drafting of loan agreements and collateral documents and schedules regarding the acquisition and financing of multiple overseas manufacturing businesses
  • Represented developer and operator of multiple restaurant properties in negotiation of long-term lease and construction financing for restaurant within the Presidio of San Francisco
  • Negotiated fractional interest lease agreements with NetJets, Inc. and other share-interest providers on behalf of NYSE-listed companies and individual owners
  • Advised president of a publically traded industrial company in the negotiation of his employment contract and equity incentive contract
  • Advised group of high-end specialty/gourmet fast-food restaurants in partnership negotiations and licensing agreements
  • Represented large corporation regarding the construction, purchase and third-party lease of seven oil product tankers for a Russian shipping company
  • Represented and advised a top-tier telecommunications provider in its seven-year network management services agreement for the outsourcing of a Fortune 100 financial services firm’s telecommunications infrastructure and global voice and data networks
  • Advised a Middle Eastern country on agreements necessary to implement a spatial data infrastructure
  • Drafted website development agreements and website contribution agreements for custom development and interactive advertising agency clients
  • Negotiated and drafted shared golf play agreement for a golf resort with lodging units under a flag, private members and resident homeowner members
  • Drafted severance agreement for a hospital department chairman
  • Reviewed and developed employment and incentive compensation agreements, licensing deals, contract manufacturing agreements, and clinical trial agreements for pharmaceutical companies
  • Prepared power purchase agreements; engineering, procurement and construction contracts; and subcontractor and vendor agreements during various aspects of construction for a large solar power provider in North America
  • Negotiated and drafted shared maintenance and use agreement for a condominium regime with a common area boardwalk, lake, concert gazebo, and other amenities that were technically owned in fee by the local development authority
  • Represented themed restaurant franchisee in the negotiation of franchise agreements, area development agreements, and territory agreements
  • Advised architectural and engineering firm on integrated project delivery agreements pertaining to large institutional projects
  • Negotiated and drafted international licenses and distribution agreements for commercial satellite imagery products and services
  • Represented and advised a medical center and teaching hospital in 10-year IT services agreements with two Fortune 100 corporations
  • Negotiated individual and shared aircraft management agreements for Fortune 100 companies and family-owned flight departments
  • Represented privately held medical device company in connection with the negotiation of a patent license agreement with large private university

  • Represented specialty food distribution and logistics business in its sale to large publicly-traded food distribution business, including earn-out and employment agreements for founder and CEO
  • Created series of custom web contribution agreements for networks of bloggers participating in new competitive market intelligence services company
  • Represented and advised a regional hospital in contract negotiation to acquire an electronic health records system from Epic Corporation
  • Drafted complex shareholder buy-sell agreement as part of commercial litigation settlement resulting in $1.6 million cash and promissory note award for client

  • Represented regional hospital in the termination for cause and arbitration of various contract disputes under an IT services outsourcing agreement

  • Led defense of large cooperative’s wholesale power contract against complaint by cooperative member file with Federal Energy Regulatory Commission
  • Prevailed in arbitration claim resulting in favorable interpretation of rent escalation provision in real estate lease

  • Prosecuted claims arising from "claw-back" terms upon breach of defaulted commercial borrower's forbearance agreement with its lender and provided defense of unfair trade claims arising from such enforcement
