Commercial Leasing

Our attorneys have extensive experience representing both landlords and tenants in all types of commercial property leases, including office buildings, retail shopping centers, industrial complexes, manufacturing facilities, warehouses, restaurants, condominiums, and hotels. Our attorneys on LeClairRyan’s Commercial Leasing Team have counseled clients in connection with a broad range of specialty leasing and financing arrangements, such as ground leases, sale-leaseback deals, and lease-option arrangements. We also have substantial experience in the unwinding of leases, including early termination planning and negotiation and restructuring of documentation.

We have created form lease documents of all types to meet out clients’ varying needs in this area, and we have successfully handled assignments and subleases of multiple lease agreements in connection with corporate transfers. Our attorneys negotiate and draft commercial leases on behalf of a wide range of clients, including national REITs; Fortune 400 companies and other large organizations across a broad span of industries; pharmaceutical and medical companies; and owners, developers, and users of office, retail, manufacturing, and warehouse space, as well as telecommunications facility tenants.

The broad range of leasing work in which our attorneys engage positions us to be of great assistance to clients in matters related to landlord-tenant litigation, subordination, non-disturbance and attornment (tenancy rights following a change of ownership) agreements, estoppel certificates, and property management agreements. Tapping our depth of experience and broad range of skill sets in commercial leasing practice, we craft practical solutions to our clients’ often difficult and complex problems. Our team works closely with the attorneys on LeClairRyan’s other practice area teams—especially in our Bankruptcy, Tax, Corporate and Securities, Environmental, Local Government, and Construction practices—to provide seamless representation and efficient, cost-effective solutions to our commercial leasing clients.

Representative engagements:

  • Leasing counsel for a Fortune 400 company with respect to a 6 million-square-foot portfolio of office, flex, and warehouse leases nationwide, a total of approximately 370 ongoing leases. 
  • Leasing counsel for a national REIT, responsible for drafting and negotiating leases for a portfolio of 3 million square feet of class A office, flex, and warehouse space. 
  • Represent a major pharmaceutical company in ground-leasing land for development of research and other facilities and in connection with leasing and subleasing office and warehouse space. 
  • Leasing counsel throughout the U.S. for a major owner of mixed-use facilities, office buildings, warehouse facilities, research facilities, and shopping malls. 
  • Represented a multi-site operator of franchised businesses in early lease termination planning and negotiations for several underperforming units. 
  • Represented the buyer of a national restaurant chain in securing the assignment of leases for 34 locations. 
  • Represented a university in a ground lease and the creation of a leasehold condominium in connection with a mixed-use educational, residential, and retail project. 
  • Represented a ground lessee in obtaining a real estate tax assessment reduction and a retroactive refund. 
  • Negotiated and drafted leases for more than 2 million square feet of build-to-suit class A office space for a REIT. 
  • Negotiated and drafted ground leases on behalf of property owners in connection with the lease of space to big box retailers. 
  • Developed form leases for a developer of retail and restaurant space. 
  • Negotiated and drafted leases for a large national furniture chain. 
  • Negotiated ground leases and office leases for branch banking operations. 
  • Represent a major insurance company with interests in a variety of office projects and properties in negotiating office and shopping center leases and addressing property management issues. 
  • Created leasehold commercial condominiums for a medical office project. 
  • Drafted leases associated with a new market tax credit and a historic tax credit deal.
