Corporate Governance

Our attorneys advise both public and private companies regarding appropriate management and corporate governance structures. We advise boards of directors and board committees on appropriate functions and protocol, as well as provide advice on transactions, financial disclosure and reporting, management compensation, and compliance. We further advise public companies on compliance with matters arising under the Sarbanes-Oxley Act of 2002.

Our attorneys undertake private internal investigations at the request of and on behalf of boards of directors or board committees. We also represent individual directors in government or regulatory investigations, and defend them in private and class action litigation where they may be named a defendant as a corporate director.
